Law Office - Foundation of Companies in Slovakia

Establishment of the company is a legal act which necessitates to incorporation of a new legal entity. Slovak Theory of Law differentiates between personal companies - General Commercial Partnership, Limited Partnership and capital companies - Limited Liability Company, Joint-Stock Company. Capital companies can be also founded for other than the purpose of conducting business activities if it's not prohibited by virtue of a special act.

The basic differences between above mentioned types of companies consist in the manner of liability of the members of the company for the company's obligations, in binding (or not binding) the incorporation of the company on a duty to make up the registered capital, in structure of company's bodies and also in legal regulation of manner in which the company's members may act on behalf of the company.

- elaboration of the memorandum of association
- elaboration of other needed documents
- issuance of trade licence
- incorporation of the company to the Register of Companies
- all court, administrative and notary fees

Additional services not included in the price :

- ensuring the seat of the company through our partners
- opening a bank account
- registration of the company at the Tax Office for the income tax and VAT

Orientation price for establishment of Joint Stock Company.

1500 € ( 45189 Sk ) - calculation of the price assumes private Joint Stock Company found by one or more founders, with three members of statutory body, three members of Supervisory board and business activities in extent of free trade licence.

In price is included :

- ensuring of elaboration of the founders deed by notary
- elaboration of the Articles of Association and other needed documents
- elaboration of other needed documents
- issuance of trade licence
- incorporation of the company to the Register of Companies
- all court, administrative fees

Additional services not included in the price :

- ensuring registration of the shares of the company and ensuring administration of the list of shareholders at Central Securities Depository of the Slovak Republic
- ensuring the seat of the company through our partners
- opening a bank account
- registration of the company at the Tax Office for the income tax and VAT
- In the price is not included the notarial fee for elaboration of founder's deed that rate depends on the amount of the registered capital
